I recently started a restore of a 3 Player Atari Rampart. The cabinet has severe water damage on the top and back, but somehow the sides and front are in great shape.

I'd rather not pull the whole cabinet apart so I sanded down the damaged areas to where there isn't any loose wood. At this point, I'm more interested in making it structurally sound than making it cosmetically perfect. Especially since damage will not be visible from the front or sides.

What product should I use to prep the wood for paint back there?

I've had success with spraying wood hardner on particle board with a spray bottle. It makes it rock hard. I can't recall the brand, but you can get it at Home Depot.

Minwax is the brand on the wood hardener. Sand off all the loose particle board, spray the hardener on, then skim coat the surface with Bondo if you want to get it smooth, prime and paint (sanding in between coats, of course).

Thanks, guys. Would latex paint adhere to the wood hardener? Or would I have to use oil paint?

Latex will adhere but I personally wouldn't use it. Oil is better and since you'll just be doing satin black, you should be able to pick up a small can of Rustoleum anywhere.
